Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Bell TechPulse Solutions LLC, a Kentucky limited liability company with its principal office at 620 W Jefferson St, Frankfort, KY 40601, United States (“Bell TechPulse”, “we”, “our”, or “us”), governing your access to and use of the website located at bell-techpulse.com (the “Site”) and any related content, features, and services we make available (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Eligibility

You must be at least 18 years of age and able to form a legally binding contract in your jurisdiction to access or use the Services. By using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Professional services

These Terms govern use of the Site and its informational content only. Any professional engagement between Bell TechPulse and a client is governed by a separate written agreement (such as a master services agreement, statement of work, or proposal) signed by authorized representatives of both parties. In the event of a conflict between these Terms and an executed engagement agreement, the engagement agreement controls for that engagement.

3. Intellectual property

The Site and all materials made available through it, including but not limited to text, graphics, logos, icons, images, audio clips, video, software, and the selection and arrangement of those materials, are the property of Bell TechPulse or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 4, no rights are transferred or licensed to you.

4. Limited license to use the Site

Subject to these Terms, Bell TechPulse grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any portion of the Site without our prior written consent.

5. Acceptable use

You agree not to, and not to permit any third party to:

  • Use the Services in any manner that violates any applicable law or regulation.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or any systems or networks connected to them.
  • Probe, scan, or test the vulnerability of the Services or breach any security or authentication measures.
  • Use the Services to transmit any unsolicited or unauthorized advertising, promotional material, or any other form of solicitation.
  • Use any robot, spider, scraper, or other automated means to access the Services without our express prior written permission.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.

6. User submissions

Information you submit through the contact form or by email is treated in accordance with our Privacy Policy. You represent that any information you submit is accurate, is yours to provide, and does not infringe the rights of any third party. You grant Bell TechPulse a worldwide, royalty-free, non-exclusive license to use such information solely to respond to your inquiry and to provide, improve, and protect the Services.

7. Third-party services and links

The Services may contain links to third-party websites or resources that are not owned or controlled by Bell TechPulse. We do not endorse, and are not responsible for, the content, policies, or practices of any third parties. Your dealings with third parties are solely between you and those third parties.

8. Changes to the Services

We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation, except as otherwise set out in an executed engagement agreement.

9. Disclaimer of warranties

THE SERVICES AND ALL CONTENT MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BELL TECHPULSE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BELL TECHPULSE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BELL TECHPULSE, ITS AFFILIATES, OR THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT BELL TECHPULSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL BELL TECHPULSE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Bell TechPulse and its affiliates from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing law and venue

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to its conflict of laws principles. You and Bell TechPulse agree to submit to the exclusive jurisdiction of the state and federal courts located in Franklin County, Kentucky, for the resolution of any dispute arising out of or related to these Terms or the Services, except where prohibited by applicable law.

13. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date above. Material changes will be brought to your attention through the Site or by other reasonable means. Your continued use of the Services after the effective date of any change constitutes acceptance of the revised Terms.

14. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and any applicable executed engagement agreement, constitute the entire agreement between you and Bell TechPulse with respect to the Services.
